Quite sure I'd say deal. You could get Mexes for about 30 mil and he's even better. If he's too old, look for Rafael Toloi, Otamendi, Kryvtsov or the best, Sakho. Fazio also good but I don't believe him to be a good replacement for Vidic ...

Depends how much money you have to spend. You could buy some one like Gourcuff, Suarez or Alexis Sanchez. Any of those would probably cost 20mil+ though.
